The aims and operation of Hillside Residents Association are contained in its formal Constitution. The constitution was based on a UK best practice template for Residents Associations, a draft was circulated to all members for comment in late 2024 and was formally approved by the Association Management Committee in February 2025.

Name Area Covered

  • The Association is named Hillside Residents Association, serving Darley Hillside, Northwood, and Tinkersley Two Dales in Derbyshire. ​
     

Aims – General

  • Promote and represent residents' interests, focusing on conservation and biodiversity. ​

  • Engage with planning applications and developments in the area. ​

  • Provide regular information and consult with the community on concerns. ​

  • Build relationships with local councils and organizations without duplicating their responsibilities.

  • Act as a representative body for members' interests. ​

  • Raise funds and potentially purchase assets for community benefit.

  • Collaborate with other community groups on shared interests.
     

Equal Opportunity Statement

  • Commitment to equal opportunities in all practices and policies. ​

  • Promote equality for all members and advocate for marginalized residents.
    ​

Membership

  • Open to all residents, with equal voting rights. ​

  • A register of members will be maintained. ​

  • Members encouraged to represent the Association positively. ​

  • Friends of the Association can support but cannot vote. ​

  • Membership can be suspended for inappropriate behaviour. ​
     

Annual General Meetings

  • AGM to be held within 13 months of the last meeting. ​

  • Committee reports on activities, presents accounts, and stands for re-election.

  • Members informed of AGM details at least one month in advance.

Other Open Meetings

  • At least one open meeting annually, with additional meetings as needed. ​

  • Decisions made by simple majority and are binding.
    ​

Committee

  • Managed by an annually elected Committee, including key roles like Chair and Treasurer. ​

  • Committee to meet at least three times a year. ​

  • Minutes of meetings to be recorded and published. ​
     

Rules of Procedure at All Meetings

  • Quorum for open meetings is 10% of members; for Committee meetings, 33% including Secretary or Treasurer. ​

  • Decisions made by simple majority; minutes to be kept and published. ​
     

Finance

  • Establish a bank account for the Association. ​

  • All funds to be used for Association aims; no joining fee required. ​

  • Treasurer to maintain financial records and submit accounts for independent inspection.
    ​

Information Communications

  • Provide information to residents through a website and newsletters.

  • Commitment to transparency and openness in communications.
     

Changes to Constitution

  • Changes can only be made at AGM or Special General Meeting with prior notice.

  • Requires 67% approval from voting members.
     

Dissolution

  • Proposal for dissolution can be initiated by the Committee or by members. ​

  • Requires a simple majority for approval and arrangements for asset transfer to a similar organization.
    ​

Management Committee

Hillside Residents Association is managed via a Committee, which is elected annually at the AGM.
